Terms of Service

These Terms of Service ("Terms") govern your use of goluda.ai (the "Site") and any web development or AI automation services provided by LDS Enterprise LLC, doing business as Luda AI ("Luda AI," "we," "us," or "our"). By using the Site, submitting a form, or engaging our services, you agree to these Terms.

If you don't agree to these Terms, please don't use the Site or our services.

1. Who We Are

Luda AI is a small business owned and operated by LDS Enterprise LLC, building custom websites and AI automation systems for small businesses.

2. Our Services

2.1 Web Development

Our web development offer works as follows: we build a working preview of a website for your business at no cost to you. If you like the preview and want to move forward, we charge a flat fee (currently $1,000, subject to change and confirmation before any charge). If you don't want to move forward, you owe us nothing and are under no obligation to use the preview.

Once you approve a project and payment terms are agreed, we'll confirm the scope of work, timeline, and any revisions included, in writing (email is sufficient), before beginning paid work.

2.2 AI Automation Services

We also build custom automation systems (for example, handling missed calls, scheduling, invoicing, reviews, or follow-up) for small businesses. Scope, pricing, and terms for automation work are agreed on a per-project basis and will be confirmed in writing before work begins or charges apply.

2.3 No Guaranteed Outcomes

We build tools and systems designed to help your business. We do not guarantee specific business outcomes, revenue increases, lead volume, or results from using our websites or automations, since these depend on many factors outside our control.

3. Submitting Information to Us

When you submit our contact form or sign up for our email list, you're providing us with information so we can follow up with you about our services. Submitting the form does not create any obligation on your part to purchase services, and does not create any obligation on our part to build anything for you, until we've mutually agreed on scope and pricing in writing.

Please don't submit false or misleading information through our forms.

4. Payment

• No payment is due for the initial website preview.
• If you choose to move forward with a website build, the flat fee (or other agreed price) is due according to the payment terms we confirm with you directly (typically before final delivery or handoff of the completed site).
• For automation projects, payment terms will be agreed per project in writing.
• All fees are in US dollars unless otherwise stated.
• We reserve the right to change our standard pricing at any time; changes will not affect a project already agreed upon in writing.

5. Intellectual Property

5.1 Deliverables

Once a website or automation project is paid in full according to the agreed terms, ownership of the final deliverable (the specific website files or automation workflow built for you) transfers to you, except for any underlying tools, templates, code libraries, or components we reuse across client projects, which remain our property and may be used in other engagements.

5.2 Our Site and Content

All content on goluda.ai, including text, graphics, logos, and design, is owned by Luda AI or our licensors and may not be copied, reproduced, or used commercially without our written permission.

6. Acceptable Use

You agree not to:

• Use the Site to submit false, fraudulent, or malicious information
• Attempt to interfere with or disrupt the Site or its underlying systems
• Use any automated means (bots, scrapers) to access the Site without our permission
• Use our services for any unlawful purpose

7. Third-Party Tools and Links

The Site may use or link to third-party tools and services, including but not limited to Meta advertising tools, our hosting provider, and our database provider. We are not responsible for the practices or content of third-party services; please review their own terms and privacy policies separately. 8. Disclaimers

The Site and any previews or deliverables are provided "as is" and "as available." We make no warranties, express or implied, regarding the Site or our services, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement, except as expressly agreed in a separate written agreement for a specific project.

9. Limitation of Liability

To the fullest extent permitted by law, Luda AI and its founders will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Site or our services. Our total liability for any claim arising from our services will not exceed the amount you actually paid us for the specific project giving rise to the claim.

Nothing in these Terms limits liability where it cannot be limited under applicable law.

10. Termination

We may suspend or stop providing access to the Site or our services to anyone who violates these Terms. Either party may end a services engagement in accordance with the terms agreed in writing for that specific project.

11. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date above reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms. For active client engagements, the terms agreed in writing at the time of engagement will govern that specific project unless both parties agree otherwise.

12. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, unless otherwise required by applicable law.
