Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between LDS Ventures LLC, doing business as Luda AI ("Luda AI," "we," "us," or "our"), a New Jersey limited liability company, and you ("Client," "you," or "your") regarding your access to and use of our website at goluda.ai and our AI automation services.
By accessing our website, signing a service agreement, or using any of our services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
Description of Services
Luda AI provides AI-powered automation consulting and workflow development services to trade businesses. Our current offerings include:
2.1 AI Voice Receptionist
An automated AI system built on Retell AI that answers inbound phone calls on behalf of the Client, handles inquiries, qualifies leads, and assists with scheduling. Callers are disclosed that they are interacting with an AI at the beginning of each call. The Client provisions and owns the Retell AI account.
2.2 Estimate & Quote Follow-Up Automation
An n8n-based workflow that delivers quotes to prospects and executes follow-up email sequences over a defined period. Operates within the Client's own n8n instance using Client-owned credentials.
2.3 Automated Review Request Bot
An n8n workflow that triggers post-job review request communications via SMS (Twilio) and/or email (Gmail) on Client's behalf. Operates within the Client's own infrastructure.
2.4 Additional Services
We may offer additional services as described in individual service agreements or Statements of Work. All services are subject to these Terms unless otherwise expressly agreed in writing.
2.5 Technology Stack Disclosure
Our services are built using third-party platforms including: Retell AI (voice), n8n (workflow automation), Airtable (data layer), Twilio (SMS/voice), Google APIs (Gmail, Calendar, Business Profile), Anthropic Claude API (AI language model), and OpenAI (where applicable). Client acknowledges that service delivery depends on the availability and terms of these third-party providers. Luda AI is not liable for changes, outages, or policy changes by these providers.
Eligibility
You must be at least 18 years of age and legally authorized to enter into contracts in your jurisdiction to use our services. By using our services, you represent and warrant that you meet these requirements. Our services are intended for business use only.
Client Responsibilities
As a Client of Luda AI, you agree to:
- Provide accurate, complete, and current information necessary for us to configure and deliver your services
- Own and maintain active subscriptions and API accounts for all third-party platforms required for your services (n8n, Retell AI, Twilio, Airtable, Google Workspace, Anthropic, etc.)
- Ensure that all customers whose data is processed through our services have provided any required consents, including consent to receive automated email and SMS communications
- Comply with all applicable federal, state, and local laws, including CAN-SPAM, the Telephone Consumer Protection Act (TCPA), applicable state telemarketing laws, and state consumer protection laws
- Maintain the confidentiality of any API keys, credentials, and account access provided or configured by Luda AI
- Not use our services to harass, deceive, or harm any individual
- Not use our services in any manner that violates the rights of any third party or the acceptable use policies of any integrated platform
- Provide timely responses to our requests for information required to configure or maintain your services
AI Disclosure & Compliance
Luda AI's AI Voice Receptionist is configured to disclose to callers at the beginning of each interaction that they are speaking with an automated AI system. This disclosure is designed to comply with applicable federal and state laws, including the FTC Act's prohibition on deceptive practices and emerging state AI transparency requirements.
You agree not to instruct or request that we disable, circumvent, or remove any required AI disclosure language. You are solely responsible for ensuring compliance with call recording consent laws in your jurisdiction, including one-party and two-party consent requirements.
Payment Terms
All payments are processed through Stripe or as otherwise specified in your service agreement.
- Fees are billed as specified in your service agreement (one-time project fee and/or monthly retainer)
- All fees are non-refundable unless otherwise stated in your service agreement
- We reserve the right to suspend services for non-payment after providing written notice
- You are responsible for all applicable taxes associated with your purchase
- Disputed charges must be reported to us in writing within thirty (30) days of the charge date
- We reserve the right to modify retainer pricing with at least thirty (30) days' written notice to active Clients
Intellectual Property
7.1 Luda AI Intellectual Property
All methodology, proprietary workflow templates, sub-workflow components, prompt frameworks, training materials, and know-how developed by Luda AI independently of any specific Client engagement are and remain the exclusive property of LDS Ventures LLC. Nothing in these Terms grants you any ownership rights in our proprietary intellectual property.
7.2 Client Deliverables
Custom workflows, automations, and configurations built specifically for Client during a paid engagement become Client's property upon receipt of full payment. Luda AI retains the right to reuse generic logic patterns, architectural approaches, and non-client-specific templates.
7.3 Client Data
You retain all ownership rights to the data you provide to us ("Client Data"). You grant Luda AI a limited, non-exclusive license to use Client Data solely for the purpose of delivering the services under your agreement.
7.4 Feedback
Any feedback or suggestions you provide regarding our services may be used by Luda AI without compensation or attribution, and you hereby assign all rights in such feedback to us.
Data Handling and Privacy
Your use of our services is governed by our Privacy Policy, which is incorporated into these Terms by reference. With respect to personal data of end users processed through our services, the Client acts as the data controller and Luda AI acts as a data processor. Clients are solely responsible for ensuring they have a lawful basis for sharing such data with Luda AI.
Luda AI does not sell, rent, or trade Client data or end-customer data to third parties for their own marketing purposes.
Third-Party Services
Our services are built on and integrate with third-party platforms. Your use of our services may be subject to the terms of these providers:

We are not responsible for the conduct, availability, or policy changes of any third-party service. An outage or change in a third-party platform does not entitle Client to a refund.
Call Recording
By using the AI Voice Receptionist service, you acknowledge that calls handled through the system may be recorded. You are solely responsible for ensuring compliance with applicable call recording consent laws in your jurisdiction. Recordings are stored in the cloud and made available to you as the Client. Luda AI will not share recordings with third parties except as required by law.

Limitation of Liability
Indemnification
You agree to indemnify, defend, and hold harmless LDS Ventures LLC d/b/a Luda AI, its members, officers, employees, and agents from any claims, liabilities, damages, and expenses arising out of or relating to:
- Your use of or access to our services
- Your violation of these Terms
- Your violation of any applicable law or regulation, including CAN-SPAM, TCPA, GDPR, or state privacy laws
- Your violation of the acceptable use policies of any third-party platform
- Your infringement of any third-party rights
- Any claim by your customers arising from your use of our services
Term and Termination
These Terms remain in effect for the duration of your service agreement. Either party may terminate as specified in the applicable service agreement.
We reserve the right to suspend or terminate your access immediately if you have violated these Terms, violated a third-party platform's acceptable use policy, engaged in fraudulent or harmful conduct, or posed a legal risk to Luda AI or any third party.
Modifications to Terms
We reserve the right to modify these Terms at any time. For material changes, we will provide at least thirty (30) days' prior notice via email to active Clients. Your continued use of our services following the effective date constitutes your acceptance of the revised Terms.
Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of New Jersey. Any dispute shall first be subject to good-faith negotiation for thirty (30) days. If unresolved, the parties agree to binding arbitration administered by the American Arbitration Association (AAA) in New Jersey.
You agree that claims against Luda AI must be brought in your individual capacity — not as a plaintiff or class member in any class action proceeding.
General Provisions
- Entire Agreement: These Terms, your service agreement, and our Privacy Policy constitute the entire agreement between you and Luda AI.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
- Waiver: Our failure to enforce any right will not be considered a waiver of those rights.
- Assignment: You may not assign your rights without our prior written consent.
- Force Majeure: We will not be liable for delays caused by circumstances outside our reasonable control.
- No Agency: Nothing in these Terms creates a partnership, employment, or agency relationship.
- Notices: All legal notices to Luda AI must be sent in writing to the address in Section 18.
